I think I did quite well with your enquiry about What is a Company? but the answer to this question requires a life time of legal practise and learning, several walls of library space not to mention spending long dismal nights for almost the whole of your twenties reading inexplicable nineteenth century cases while your friends are dating girls.

If you are still keen to find out I would read a primer like Chitty which can't be more than about four to five loose leaf volumes.

My colleague Richard Howard is obviously quite right: This is one of the most complex issues of civil law.

There are really only two ways to tackle your problem: either study law at the university (which is no guarantee to really understand the concepts) or seek the advice of an advocate (which is no gurantee either but helps because they should have PI). My offer in re. 'what is a limited liability company' applies here as well: I would be quite happy to set up contact to appropriate colleagues here in Malta.
