Legal Question in Business Law in Utah
I am one of 3 owners in a LLC, which is a website with a subscription service. One of the other owners recently used her subscription as leverage to get an outside job...the company hired her on the basis that they get to use one license, which is hers. So, an outside company is using the product without paying. This move by her has caused some division amongst our LLC. Has she done something wrong/illegal in offering the product, using it, signing a contract with this company including the website license, for personal gain outside of the LLC?

What obligations does our operating agreement say each member has? Are you member-managers? I would have to review your operating agreement with you to answer your question.
