Legal Question in Business Law in Utah

Agreement to retail product line contract?

Greetings. I have a small business opportunity that I need advice on. My gut says I need a contract--what kind and to what exact effect I do not know. Here's the situation:

A local craftsperson who sells her product line wholesale to local businesses has offered to allow me to sell her products at any retail price I wish and keep all money above her wholesale price. I advertise the product and make the sales, then pass the orders on to her along with payment. Again, I keep all the profit.

What I prefer to do is not use her business name, but create my own business name. I also want to ensure that at no point in the future does she try to take from me any part of the retail business that I am going to create.

Any ideas on what I should do as far as legal forms or contracts to protect myself?

Your instincts are correct. You should have a clear and comprehensive agreement with the vendor. It need not be particularly expensive, but should be sufficient to cover the terms of the understanding between you. You are welcome to call for a consultation. (801) 876-4422
