Legal Question in Business Law in Utah

We want to franchise our business, but I find that similar businesses don't franchise to all states. Does this just have to deal with fees and costs? Or is that you have to have a physical location in that state to franchise out your business? What are some of the limitations with having a franchise in a different state?

Franchising is fairly complicated. It requires a proven business plan and a franchise plan that is reasonably certain to provide success to the purchaser. These packages require a complete and detailed plan. The reason franchises are not sold in all states vary from franchise to franchise - and often have to do as much with the viability of the franchise as local laws. You do not need to have a company store in states where franchises are sold, but you do have to comply with the franchise laws in each state.

As a Franchise Attorney with 30-plus years of practicing franchise law I can tell you this. The usual reason is fees and costs to register in the 14 franchise registration states. A physical location in the state is not required. Limitations include having to maintain a franchise registration in various states and supporting geographically distant franchise owners. It all depends on the business cycle a company is in and your strategic plan.
