Legal Question in Business Law in Utah
Purchases made thru business and closing business
I have a question-I am being sued by a company that I bought product from, but thought that I paid for. On the summons it states the debt arose in October, 2001, but that was all paid for and now he claims that there were some items that were purchased a year ago that unfortunately I paid by cash to him to get a discount. Also he has not given me the discount from what people under me have purchased. I guess the question that I have is
1-If he says the debt arose in October, 2001, can he go back in time or is it for that month only?
2-My business has not been opened for 9 months...how do I officially close it without declaring bankruptcy on my business?
Thanks

Re: Purchases made thru business and closing business
Appear and court and contest his allegations if they are not true. Try to find a witness of your paying in cash, or some other record (i.e. if you made a withdrawal from a bank for the amount or an amount very close to the amount, which was used to pay him.
You can close your business any time you want by just paying your bills. Depending on the form of your business you may want to file notices. I would need to know more about the business type. (Corp, LLC, sole proprietorship)
