Utah Partnership Question

My son is a partner with another individual. My son wishes to sell his half of his partnership to me, his father. Can he do this without notifying his current partner and if so how?

It depends on the terms of the operating agreement of the partnership. If there is no operating agreement then he is bound by the Utah Partnership Act. From a practical standpoint, why would one of the partners want to sell his interest without giving the other partner notice?
