can a company (an LLC) established in Virginia and operating in Virginia, with no business or employees is Texas, use the laws of Texas to govern legal agreements for the company? (Specifically, Loyalty Agreements and Non-Disclosure Agreements for its employees)

.Sure, I don't see why not as long as it's part of a valid/enforceable
contract to which all of the parties have voluntarily agreed.
