Contract question
January of 2008 we bid and were awarded a contract to complete the rest of a construction job where the previous company was disolved and could no longer fulfil the remainder of the job. We did not assume any part of the previous company, have our own FIN number and have a completely new contract for only the remainder of the job. A concrete complany that poured something for the old company months ago and was never paid has said that we are resonsible for paying them since the old company never did. We say no because we have no contract with them nor did they pour for us in conjuction with the part of the job that we have. Please tell us if we could be sued by them for collection on this.

Sure, you could be sued, but the plaintiff(concrete company)probably would not prevail. Their remedy would lie with a mechanic's lien filed against the property for the value of the work they performed, unless, of course, the time frame required for this particular action has already run.
