Non-profit Association Broke Law

According to the VA Statute, non-stock corporations are to hold their elections at their Annual Meetings (unless filling a vacancy). My association's Annual Meeting is in January. Since 2006, elections have been held in December without changing the bylaws (havent been updated majorly since '87).

I have recently left the association but in hopes to return & take over. They are close to folding because of oblivious spending. I want to return soon & slam everything down to them about how they broke the law and have ''broke'' the rules of their Parliamentary Authority (Robert's Rules), etc. I want to slam it to them big time.

I do NOT want a lawsuit against them or from them, how would I best present myself? Should I have a few supporters with me that are involved with the association or even a few supportes from the community we serve..?

After reviewing this question, I would highly recommend that you engage the services of someone other than yourself to independently evaluate this situation and to underetake whatever action which might be appropriate, but which would not be likely to include your apparent recommendation "to slam it to them big time".
