Subcontracting Agreement
A company that I do subcontracting work for recently asked me to sign a subcontracting agreement that will "hold them harmless and indemnify them from any & all loss, liability and claims resulting from this work, including attorney fees. They will retain control of the defense, resoluton and settlement relating to any such loss. Subcontractor will cooperate with them & provide reasonable assistance in defending any such claim." Am I correctly interpreting that to mean that they share no liability but maintain contol over my potential defense, resolution and settlement?

That's exactly what they are asking you to sign. If I were advising a client on this (and you should certainly have a lawyer look at the WHOLE agreement before you sign it), I would recommend rejecting this clause.
