Legal Question in Business Law in Virginia
With no warning my business partner dissolved our llc without any consent and opened a business with the same name, inc, simultaneously. We have no operating agreement. The business affairs were not completed at the time of dissolution. Is this considered fraud? Per the dissolution form it is a misdemeanor to falsely file this document. Can we press criminal charges against him?
