how do you eliminate a contract under the
commerical code for a holder in due course?

I'm not sure anyone can answer your question because I certainly don't understand it. I could guess that you're talking about not paying a contract because one of the parties is not a holder in due course but I think you need to rephrase your question and perhaps give more details.
