I need to know if this applies in Va. and what contitutes the theft by conversion

More facts would be needed to answer your question specifically, but generally conversion is often charged in a civil(as opposed to a criminal) case where personal property of some kind has been initially entrusted to a person for safekeeping by the owner or for some other legal purpose and then the person so-entrusted diverts or takes the property and uses or consumes it for his or her own unauthorized purposes and to the owner's detriment.
