Is a proffer (property in Virginia) similar to a Public Offering statement

A proffer is normally just an offer. Without knowing more of the

context of the proffer to which you refer, it would be difficult

to say anything beyond that other than it very likely

has nothing to do with what is usually considered "a public offering"

which occurs when a private company or corporation offers to sell some of its stock to the public at large.
