Dissolution of S Corp and Fair Value

After one year, S corporation between two people is mutually dissolving. I have started sole proprietorship with new name in same field. Partner is vengeful and angry at our depreciating equipment. Depreciation is very difficult to agree but this is fair market value and/or replaceable value. Is partner owed 5% of total gross on company's receipts when company is dissolving? Also claims only 75% of gas should have been reimbursed, company only paid gas of my car that was 100% the company vehicle. What about only 75% of gas? Is there anyway to be amicable and fair that wouldn't involve a lawyer/ mediatior? Thanks.

My only suggestion is that you seek the services of a business dispute mediator if you wish to avoid using the services of a lawyer. You may also wish to use an arbitrator. Good Luck.
