sold business

Sold business March 04. A customer has a small claims dated Dec. 04 against the business. Am I still responsible? Since it was a corporation and I was an officer will I have to appear for the business or notify the small claims courts that the business was closed before the claim date.

There is a statute of limitations section of the RCW having to do with suit against a defunct corporation. Look around Title 23B - probably there.

If you sold the corp., the person who owns it now has the problem, not you - although they may come after you for contribution.

The problem you face is this: A corporation in order to appear in court must be represented by an attorney - you cannot appear for the corp. unless you are licensed. You cannot 'notify the court' about anything. An attorney has to answer the complaint, and get it into district court and out of small claims. This is not self-help law.
