A franchise attorney will say you're mixing apples with oranges. The entity type has nothing to do with protecting the name (brand). The protection mechanism is a registration, either for a trademark or service mark. And this can be either at the state or (even stronger) federal level. Consult with a good business or franchise attorney in your area for specific advice.
