An officer of a corporation is an agent of the corporation when acting for or on behalf of the corporation. He has the power to bind the corporation in contracts arising out of the ordinary course of business. An officer of a corporation may also be an employee of the corporation and would be an agent in that capacity also. In both instances, tort liability of the officer would be imputed to the corporation. The law respecting agency and dealing with officers or a corporation are many. As you might expect the result in any given circumstance is fact driven. If there are serious issues involved a lawyer independent of the corporation should be consulted.
