Legal Question in Business Law in Wisconsin
Llc
Another lady and I signed an LLC concerning the horse registry that I and my husband started. We signed the LLC in 2005. In 2006 this other partner turned our LLC intoa Non Profit Organization. She has brought into this organization 3 other board members. She exculded me from registry decisions.
I never signed any papers to form this Non Profit.
This lady also signed in 2002 an agreement with my husband that the registry would always belong to us. (We brought her into the registry as a marketing manager)
We are unhappy with the formation of the Non Profit.
Is there anything we can do?

Re: Llc
Your facts are a bit scant, but it appears you may have some rights to stop your marketing manager based upon the signed document you have or some possible legal theories. These types of battles are expensive if they get into litigation, so I'm not sure whether the value of your registry makes such a battle worthwhile. You need to consult with an attorney, giving him or her all the facts and copies of all your documentation. Good luck!
