Legal Question in Business Law in Wisconsin
LLC Lawsuite/responsibility
If I am a ''Member'' of a Limited Liability Company and signed a service contract with another company, am I personally responsible for that contract and any monies owed? If a lawsuite ensues, can they sue the LLC and me personally or just the LLC? If the LLC goes bankrupt, am I or the LLC still liable?

Re: LLC Lawsuite/responsibility
If you signed the service contract in the name of the LLC, clearly indicating so, the LLC, not you, are responsible. Be sure your signature is not solely your name, but the LLC, by you, as a member. Be sure also you did not make a representation in the contract that you were acting personally. If you did all that, you should not personally be on the hook.
