Legal Question in Legal Ethics in Michigan

Is this legal

I had a broker in Canada who made products for me that I in turn sold to three clients here in the states. He made several formulas for me and I private labeled a few of them for each client all the same formula. One client cantacted him direct and he is selling her my products (her name) and I got cut out of the sale. I own the .com on most of the products except the ones that I private labeled for the client. I did have a confidentiality agreement with him. Do I have any recourse?

This is a very preliminary answer because this cae would involve a great deal of research, etc. However, if you can show that he made the deal while still in a partnership with you, perhaps you could win on the basis of the implied duty of good faith and a duty to the partnership. However, I'm sure that he could put up a very vigorous defense. On top of it, you may be forced to sue in Canada. William S. Stern
