i am just looking for a book or internet database site with the corporate laws of minnesota and federal laws. I know of the book Model business corporation act annotated. But am wondering if i can find this book to be viewed online. I am trying to find any laws reguarding a corporation that is sueing a shareholder/employee for continuing to work for another company after given notice of termination and is now being sued for coninuing to work in the same field even though the other 2 shareholders have also worked for a competing company in the past.

You can go to the MN Revisor of statutes and review all of the statutes there, but I don't think you'll find what you're looking for. There is a great deal of caselaw regarding breach of fiduciary duty, violation of noncompetes, etc., none of which will be in the statute book. Frankly, that is why lawyers are around; the law is not easily found in one central location but is instead scattered throughout many different authorities.

MN Corporations Act will not be instructive in this area.

Was there as Non-compete contract in writing?

Did the SH agreement prohibit such competitive employment?

(3M Shareholders can work for competing medical products mfgrs).

Only Officers, Directors and parties contracting to non-compete would be so barred.

I have handled ( and I am handling) multiple cases in this area.
