Legal Question in Business Law in New York

purchase orders

We are a small company in NYS that excepted a purchase order from a co. in CA. Based on this p.o. we ordered several hundred thousand dollars of inventory from Italy to fill the order. The company has decided to substitute a cheaper product, and has stopped purchasing, leaving us with $300,000 of merchandise in inventory. Do we have a legal case to file suit to make them take the goods at the price on their purchase order?

You might. It would require looking at the PO, your history of trade with this customer, course of trade in the industry, etc. You may have difficulty getting jurisdiction over them in NYS, however, unless they have property here in the state you can attach.

It sounds good but...the terms of the purchase order need review, as does your course of dealing.

Tis is a matter better left for an attorney review. it might be worth the few hundres dollars for an opinion to get back your $300,000.00

If you have a strong PO and you sue in NY, make sure you get good service on the company in CA to improve your chances of having your NY judgment enforced in CA.
