Re: business contract

Dear Seller: The terms of your written contract or agreement for sale may provide the method of recovering payment past due. If not, then you may file suit on an account for value received, including counts (claims) for unjust enrichment (of the purchaser), fraudulent inducement, etc., and seek punitive damages. If you include a count for breach of contract, however, you may be barred from asserting any claims for damages. Your call.

Seek legal counsel to advise, guide and assist you. Good luck!

Sincerely, J. Norman Stark, Cleveland, Ohio.
