LLC and Lawsuit
I was involved in partnership as a limited liability corporation with a friend and her brother. Her brother was a silent partner and more or less our bank. He got out of the partnership and we signed promissary notes on behalf of the company to him for the money he invested in the company. After a falling out we dissolved the partnership. Now the brother is suing me and my ex partner. He lives in Texas and we live in Tennessee. He is suing us from Texas. First, does Texas have jurisdiction here and second can he sue me. I have done nothing wrong here, however, his sister did mis manage money in the company which I later discovered and she signed a personal guarantee to be responsible for these depts, I did not. I have also discovered that she signed my name to checks written out to herself, can I have her arrested for forgery? I am in a delema here, please help quickly!
