Such could be many; a better way to approach the analysis(in my opinion)
would be to start with the particulars which a person knowledgeable of the situation believes may constitute the alleged malfeasance and then have analysed this alleged conduct/acts in the context of the duties/responsibilities/obligations of the board and director during the time frame in question.
