Agreement to Provide Custom Training Sessions
My business provides customized training and development, and will be marketed and ''packaged'' by another company. My company will own all materials, manage delivery and content. The marketing company will market and sign-on clients; be responsible for billing, and manage logistics related to the client's location. My services will be billed to the marketing company on a 1099, independent contractor basis, and all logistics. hiring, materials, etc related to the execution will be my responsibility. The marketing company will retain exclusive rights to market specific types of training, but not all services my company provides. What type of agreement/contract is appropriate? Thank you

What type? You need a thorough licensing agreement that covers all those topics and more. It is up to you whether your company prepares the draft contract, or sits back and waits to try to fight out the imbalances in a contract prepared by the other company.
