Legal Question in Business Law in California

Broker

I have a customer in Canada that buys large amounts of African Nightcrawlers. He has not been able to find a source for these as demand is high. I found a source with unlimited capacity and I am brokering this product to the gentlemen in Canada.

My concern is that through this relationship, the customer in Canada will eventually learn who my source is and attempt to cut me out of the deals.

I put this deal together, and though I have been told by my Canadian customer that he will not attempt to circumvent me, I believe he will. How can I protect my interests here? If it were not for me, this deal would never have happened.

Re: Broker

Act like a real business, and enter a written contract with him specifying the rights of the parties. It's done all the time. Feel free to contact me for legal help getting it done.

Re: Broker

You use a non-circumvention agreement that makes him submit to litigation in your jurisdiction. Or you simply use an intermediary so he never finds out the source. Or both. Let me know if you want the contract.
