Re: Business contract needed

Yes, you need a contract in order to obtain the rights to what you want, to avoid getting sued. If you're asking for some simplistic form you can fill in the blanks, you seriously misunderstand the issues. These kinds of detailed written contracts are generally negotiated by and between the two company's attorneys, so that both sides are protected against all the risks and issues. IF the company with the logo is actually willing to prepare a written contract for you to sign, I suggest you have it reviewed by an attorney that understands the issues and can advise you on the consequences, risks, and rewards it provides. If you get serious about doing this, feel free to contact me for the legal help you clearly need.

Re: Business contract needed

Why would this other company let you use their logo for free? What's in it for them? I suppose you could call them, or write to their CEO, and ask.

Re: Business contract needed

This would be a pretty simple agreement. It's essentially a licensing agreement - they allow you to use their logo in return for whatever you agree/agreed with them you would do (or wouldn't do).

There are several questions and issues you need to consider including, but not limited to, whether the rights are exclusive or non-exclusive, any remedies for using the logo improperly, what would constitute improper use, etc.

Feel free to contact me if you would like further help with this. I would strongly urge you to work with an attorney since there are a lot of legal considerations that are generally cheaper to deal with upfront rather than litigation down the road.

By logo, you mean trademark I think. Those contracts are called licenses, and I draft those. If there is no monetary compensation, then you would need to explain what kind of consideration (exchange) there would be. Feel free to contact my office to discuss it further.
