Legal Question in Business Law in California

legal claim to Noddy Equity Exchange Inc.

Dear Sirs,

The money used to form the company Noddy Equity Exchange Inc. in California was royalty money made from my creation of the Noddy and BigEars children's characters in England in the early 1980's. Therefore, Noddy Inc. legally belongs to me.

However, since then a major cover-up operation has taken place, which is why there are no listings on the Internet or in most private business directories listing `Noddy Equity Exchange, Inc.`, rather strange don't you think? - despite that company being listed by the Secretary of State for California (everyone has to pay their taxes, of course, there is no escaping that).

I wonder, could you please let me know how I would go about offically and legally claiming this company as my own, and also whether you could recommend a specialist law firm that could arrange this process for me?

Thank you and best regards.

It sounds like you may have certain rights to the company if the capital used for the company was yours and the stock is yours.

However, there are a whole lot of issues that might be raised in this matter that need to be investigated and researched in detail.

The best thing to do is have a sit down discussion with an attorney bringing any and all documents that you have regarding the company and your royalties and how your royalties were used for the initial capital of the company.

Noddy Equity Exchange, Inc. has been dissolved. If you were not the incorporator did you have copyrights on the characters? You may have a problem with the name availability if you wish to re-incorporate with the same name. Call me directly at (619) 222-3504.

Without a lot more details, no one can give you any worthwhile advice. IF you have evidence that you started the company, then your interest can be traced through to the present. 'Claiming' the company probably means you will have to file a lawsuit to determine and resolve your interest in the company, seek money due, etc. 'Arranging the process' means hiring an attorney to do so. Feel free to contact me to discuss what your evidence is, and what are the processes and costs invovled.

Re: legal claim to Noddy Equity Exchange Inc.

Please clarify your question. Do you own / have you registered the copyright in the characters? The copyright in the childrens' books or other creative works, if any? Are there assets, to your knowledge, owned or claimed by this company? Who are the officers and directors listed in the Department of State records? When and by whom was the company formed? Did you pay money to the corporation or its founders, and do you have any written receipts or records? I would be pleased to try and be of assistance.

Re: legal claim to Noddy Equity Exchange Inc.

Your question raises many issues, all of which could not be explained via email. It sounds as if someone might have violated copyright or trademark law here in the US when it started a California company. In order to answer the questions raised, I would need more information. If you would to contact me I think that I can assist you.
