Legal Question in Business Law in California

Partner Problem

I started a LLC with a couple guys here in california 7 months ago and I later found out that they were both clinically depressed and one is on dissability for it, one has HIV and niether one can perform thier dities because they are both on so much medication and dpressed half teh time. I am trying to find a way to get my company back and save my project before its too late. Can I get out of my oporating agreement based on the fact that they did not disclose these medical conditions to me prior to teh agreement? Or what can I do?

Re: Partner Problem

Sure, you can solve your problems. Your bylaws should describe the initial procedures. If not by negotiated agreement among the parties, maybe with the help of legal counsel for 'persuasive' power, then worst case scenario by filing suit. If you're in SoCal, and serious about doing this, feel free to contact me.
