Legal Question in Business Law in California

I would like to set up a 50-50 partnership agreement with a friend of mine for a business store that we are opening together in los angeles, california. Does anyone have a sample partnership agreement that i could use to tailor to my situation. Any help would be appreciated

Your best bet rather than trying to work from a bare sample agreement is to invest $20 or so in a paperback book, Nolo Press for one example of a well-known publisher, that will contain both sample agreements and some discussion of why and how to customize the sample(s). Be sure to get a book that is aimed at California audiences. Partnership law doesn't vary too much from state to state, but there are subtle differences in each state's version of the so-called Uniform Partnership Act.

For starters, I never allow my clients to enter into partnerships. That exposes them to liability unnecessarily. You should form a corporation for the business. Which type is determined by your tax needs. If serious about getting legal advice and help, feel free to contact me.

Another option besides a corporation is a limited liability company. An experienced attorney can help you determine what is the best option for you.

Keep in mind that the biggest mistake new businesses make is not formally setting up a distinct business entity. Setting up a separate business entity, if done properly, can protect you both from individually liability and may also have tax benefits.
