what are the formalities required to transfer a corporation within united states

"transfer" does not explain what you want to do. You can sell the assets, or you can sell the corp by selling the stock. There are corp docs to complete, numerous notices and approvals to the state and feds, contracts to prepare to document the sale, etc., etc. Feel free to contact me if interested in getting legal help doing so.
