is it legal to audio record your boss in ca if your boss is asking you to comite fraud

That's dangerous ground. IF you are taping to prove a crime is being committed or planned, then the tape might be admissible and you might avoid being charged with the crime of taping. Talk to the police about this 'crime' before doing anything that could put you in jail.
