what law statue do you have

My question is that is there a Law that if all Board members die or resign or just can't be found can The executive Director appoint a new Board of Directors at her discretion. I want to know if so what State law is that or have there been any similar cases that have been heard and if so can you tell me and discrip that case State or Federal

You're asking for specific legal opinion that simply is not going to be given without knowing all the actual facts and establishing an attorney client relationship. In general, company by-laws determine such succession rules. Stockholders probably would have the power to act and vote new directors and officers in such circumstances.
