Bill is a millionaire who wants Fred's help as a financial consultant. In consideration he would like to give Fred etiher a no interest $50k loan or 10% of Bill's profits from Fred's advice. The compensation will not be received until after Fred has given his advice. Bill uses an off shore corporation and I.B.C. located in the Brittish Virgin Islands (BVI). Because Bill's structure is outside US jurisdiction Fred is worried about signing a contract with Bill out of fear that Bill may hide behind the jurisdiction of the foreign entities and not pay him. Fred feels that an ounce of prevention is worth a pound of cure. Question #1 What can Fred do to make sure his contract with Bill is enforceable in both jurisdictions? Question #2 Is there any additional but not required things that Fred can do in advance to stregthen his legal position in the BVI Jurisdiction? (assuming arguendo he must litigate to recover his compensation)
