Severance Agreement

I was separated from my company on 1/30/09. I have a written release agreement from the company stating that they will send me a lump sum payment of 2 weeks pay and one month paid benefits. There is a paragraph in another letter that I received stating ''Should you decide to sign the Release, you must return it to the company within the 45-day time period...'' Does this mean, if I have gone past the 45 days I am no longer entitled to said lump sum payment?

That's right. Contract mean what they say. Try to negotiate with the company.
