Legal Question in Employment Law in California

I signed and accepted an Offer Letter recently. It was contingent upon the new company spinning of from the old company. That has now happened and yet I am not on the payroll as yet. It also appears that the person who hired me may be looking to hire someone else in my place. The offer letter included "at will" language. Do I have any legal recourse?

Not based upon your stated facts. The contingency hasn't occurred. If you left your old employment based upon that illusory offer, you should try to get your job back.
