Investing in real estate
I would like to invest real estate. But I need raise money for that. I want to create a web site and put an advertisement in internet and newspaper for that. What steps I need to take to avoid future problems with SEC department.

I don't mean to dissuade you from pursuing this, however, this forum isn't really equipped to provide you with the specific legal advice you need to solicit investments. The area of law that governs this sort of activity (both Federal and State) is extremely complex, and depending upon the structure of your investment vehicle, requires substantial legal advice. What you are asking someone to provide on this forum is tens-of-thousands of dollars of legal work, so I don't expect that you will find someone willing to give you that advice for free. This forum is intended to provide answers and information to general legal questions, not specific, substantative legal advice. Additionally, you really need the advice of an attorney who specializes in investment structuring laws, blue-sky laws, etc... rather than a real estate attorney. I wish you good luck - I think that there are some good opportunities out there right now, but you need to find some cash to hire an attorney to properly structure this investment vehicle for you. It is absolutely critical that you get it right from day one, or you are correct that you could have the SEC, the Department of Justice and the States Attorney General breathing down your throat.

Steps? How about full compliance with all the rules of the SEC, Corporations Commissioner, Real Estate Commissioner, Business and Professional Code, criminal code, etc? Unless you've got a magic wand, you'd need substantial legal assistance to do this, and stay out of jail and avoid being sued. If you get serious, feel free to contact me for that help.
