Adt is trying to sue us for 90% of our contract.
My company moved last year. The place we moved to had a built in alarm now adt is trying to sue us for 90% of the balance of the contract.The company is a llc. We are about to close it in the next few months. Can they go after the partners for the money after we close? Both myself and my partner did nto sign a contract we believe that the guy who was painting the office at the time signed(he is not a member of our company) Everytime I ask they said i should have a copy and they cant be bothered to look for it. If we dont pay what can happen

You really have two questions. First whether you have a binding contract. From the information you have provided it would appear you may not but we would need to explore it further. For example did you actually receive a benefit (the use of the alarm service) from ADT would have a bearing on the question. As to your second question as to whether or not you would be liable as a member (you stated "partner") typically a member is not liable for the debts of the company. However if you dissolve the company and plan on distributing assets from the company to yourselves as members, the creditor can pursue those assets through the dissolution process. Hope this helps.
