Complaint for fraud

Greetings,

Thank you for your time. (this is not a family or marital matter) a couple divorced in 1995, 6 yrs later wife finds out finaincial affidavit undisclosed 5 million in ''restricted'' options. defendant claims no knowledge but was cfo. the company sells for 60 mill, they buy a new company now worth 1.4 billion. defendant and two members on board of directors were the leaders and made all financial decisions together. plaintiff files motion amongst many other things, complaint for conspiracy to commit fraud on the new company, and the two board members. they said, strike b/c lacks subject matter jurisdiction and dismiss b/c its not necessary and indispensable w/ ten pages of memo of law(very intimidating) question what does that mean ( sub ject matter and nec=indes)? second question, is it legal for me to file this compalint on the new compnay under tort or fraud, b/c the new company was purchased with stock from the old company? I am pro se I was granted a hearing on this matter for a pjr for 4 mill usd and records, I think I need a lawyer, moreover, the courts are listening to me, I think they want to help.
