Legal Question in Business Law in Delaware
LLC Tax
Closed our LLC Partnership last year. LLC formed in Delaware, State taxes are still due $600 before they'll officially close the business. No money left in business, never profitable. Do partners have to pay out of personal funds?

Yes, but enforcement by the state is rare.

Can't say about Delaware, but in California the founders and owners of businesses that formed corporations and LLCs regularly walk away from them when the business concept for which they were formed goes sour, and I have never heard of the Franchise Tax Board pursuing them ...... doesn't mean I recommend abandoning unused shells or that the FTB always leaves them alone, but I've never heard of founders being pursued in California.
