Registering a foreign-based business in the USA

Greetings,

From a tax efficacy point of view, what would be the best way for a company whose corporate HQ is registered in Gibraltar to register in the USA? The company now wants to conduct business in the USA but will retain its corporate HQ in Gibraltar.

Would a recommended structure be as follows?:

1) Register the USA business as a foreign subsidiary of the

Gibaltar HQ

2)Register the USA business as a seperate entity altogether

3) IS there another option?

The goal is to minimize US taxation on revenues earned in the USA.

Any help is greatly appreciated.

From the limited information you provide, you may want to organize (corporation or LLC) a wholly-owned U.S. subsidiary of the foreign company. Our firm does this type of work.

Delaware corporate taxes are relatively low and the company would have the benefit of the business-oriented Delaware court. We work with an accounting firm that could provide more detailed advice regarding U.S. corporate taxes.
