Legal Question in Intellectual Property in Delaware

If my partner and I close an LLC where we both agree to do so and the company has a website as part of the business can I start another company and use the website information in the new company on my own. The website say copyright to the former company but we never took any steps to copyright the site or name.

All materials fixed in a tangible medium are automatically copyrighted and no registration is required. If you are a co-author then you may have rights in the content of the website. This analysis is factual and you should consult with an attorney.

You could also seek written permission from the other member of the LLC and/or agree on distributing the assets of the LLC in such manner that you will receive the contents of the website as part of the final asset distribution.
