Monetary compenstation
Person A and B (who live in Florida) want to start a production company with person C (who lives in California). The company was, and still is, in the idea phase. Person A and B correspond with person C via e-mail to begin writing a paper agreement in which persons A, B and C will enter into a partnership. Terms are discussed, but never finalized and a contract never signed. No mention of monetary compensation during preliminary planning for company was made and still has not been discussed. Person C takes out potential contacts to dinner and pays. Later, person C decides to sue persons A and B for time spent and damages, although the company has yet to be incorporated or even formed (still in the ''idea'' phase) and persons A and B were not informed of person C's efforts. Does person C has the right to sue?

Not based on any contract that does not yet exist, but person Cmay claim that there was an oral contract as between A, B and C that the expoenses in researching and forming or attemptingto form the corporation would all be equally shared. His expenses taking out the contact would fall under that "agreement".
