I'm not sure what you are asking, but I can tell by the fact you are asking that you need to speak with a local business attorney. There's no way to simply tell you how to draw up a contract. You will need to tell an attorney what you are looking to accomplish, he/she will ask you some questions and then draft up an agreement or agreements.
