Legal Question in Securities Law in Illinois
I want to fund my US-based start up by raising capital (around $200k) on the internet from more than a 100 distinct investors. I will be diluting max 60% of the value of my firm. Besides the obvious difficulty (people may think this is a scam) I am curious of the legal aspect only: which Securities laws do I need to be aware of? Is this legally possible?

Thank you for your question. In short, you need to be wary of state " blue sky" laws and SEC. Regulations. Specifically, you will need to follow Regulation D, which deals with the private sale of securities. If you provide me with more detail, I would be happy to answer your question further.
