Distributor Rights

Our company, a corporation of Argentina, has been distributor of a company based in Indianapolis, IN. for almost 30 years.

Last year, said company entered in a merger with a large corporation. Though the commercial relationship has not suffered, this corporation has not renewed so far the contract with our company, which expired in December, 2006. Question: when is the latest date in which we could claim contract breaking by the corporation?

I think your question is a bit too complicated for this forum and I am a bit surprised that your company does not have legal counsel. That said, and based upon what you have written, I do not see a breach by the Indiana corporation. You write that the contract expired, that the contract was not renewed, and not mentioned anything that the Indiana corporation did wrong under the contract before it expired.

It does not sound as if there was a breach of contract since your posting indicated that there was not a renewal.

However, breach of written contract lawsuits are either 6 or 10 years depending on the circumstances. You should hire Indiana counsel to review your situation.
