How do I sell my stock options to my corporation? I currently hold all 60,000 shares yet I am looking to sell 20,000 of my stock options to a investor. How do I issue stock certificates?

First, are you a C corp, S corp or something else? Second, where is the investor from? I assume that this is not a publicly traded company. What corporate documents do you have?
