This question is too general but as a matter of law there must be some nexus for jurisdiction to attach. In layman words there must be some relation with the place where the law is applicable, in your case the US laws would be a good guess.

As a general rule, with regard to property the applicable law will be the law of jurisdiction where the property is located. With regard to a company, again the law will be the law of the jurisdiction where the company is incorporated (or formed, if it's an LLC or partnership). Also, if the company does business in locations other than the state where it's incorporated, the the laws of the jurisdiction(s) where it does business will also apply to transactions in those jurisdictions.

Now, in both situations the parties can enter into agreements which can, to some extent, provide that the laws of a foreign country will apply to the parties' relationship. This can get pretty complex, and I would need to know the specific facts before going into that in more detail.
